TheAI Ltd is incorporated and licensed in the Dubai International Financial Centre (DIFC), Dubai, United Arab Emirates.

For purposes of this Legal Notice, “City Code”, “we”, “us” and “our” refer to TheAI Ltd.

2. Activity

Through the City Code website and related online platform, we provide and distribute online detective games and related digital products and services.

Depending on availability, these may include:

• individual game Cases;

• Pre-orders;

• Bundles;

• Subscriptions;

• corporate and group access;

• other related digital products and services.

The specific terms applicable to a purchase are provided through the relevant product page, checkout and our Terms of Service.

3. Payments and Seller of Record

Purchases may be processed through one or more independent third-party Payment Providers.

Depending on the payment arrangement used for a particular purchase, the legal seller of the transaction may be TheAI Ltd or an independent Merchant of Record identified during checkout, in your order confirmation, receipt or invoice.

Depending on the applicable arrangement, a Payment Provider may act as:

• a Merchant of Record or authorised reseller;

• a payment processor;

• a payment service provider;

• a payment facilitator;

• an acquirer;

Where an independent Merchant of Record acts as the Seller of Record, that provider may be responsible for matters including:

Where no independent Merchant of Record or reseller is identified as the Seller of Record, TheAI Ltd may act as the Seller of Record for the relevant transaction.

4. Intellectual property

The City Code website, game platform and related services contain intellectual property including, without limitation:

• game Cases and scenarios;

• stories and narratives;

• text;

• graphics;

• illustrations;

• photographs;

• audiovisual materials;

• maps;

• interfaces;

• characters;

• game mechanics;

• software;

• source code;

• trademarks;

• logos;

• branding;

• designs.

Such content is owned by TheAI Ltd and/or its licensors and other relevant rights holders, as applicable.

TheAI Ltd operates and distributes City Code under licence from the relevant intellectual property rights holders.

No transfer of ownership of intellectual property occurs merely because a User accesses the website or purchases access to a Case or other digital product.

Except where expressly permitted by applicable law or the Terms of Service, no part of the website, Game or related content may be:

• reproduced;

• distributed;

• sold;

• commercially exploited;

• modified;

• extracted;

• systematically scraped;

• publicly communicated;

• reused;

• reverse engineered;

• incorporated into another product

without appropriate authorisation.

5. Website use

Access to and use of the website and City Code Service are subject to our Terms of Service.

Users must not use the website:

• unlawfully or fraudulently;

• to interfere with its security or operation;

• to obtain unauthorised access;

• to circumvent payment or access controls;

• number of included Attempts;

• Pre-order status and expected availability;

• applicable Payment Provider;

• cancellation or refund conditions.

Unless expressly stated otherwise, each separately purchased City Code Case includes up to three (3) Attempts, as further described in the Terms of Service.

Nothing in this Legal Notice limits mandatory consumer protections that cannot lawfully be excluded.

UAE Federal Decree-Law No. 14 of 2023 requires digital traders to make relevant sales terms and pricing information publicly available, provide clear descriptions of services, identify communication methods and disclose information concerning their licence and business address.

7. Pre-orders

Certain City Code Cases or other digital products may be offered for Pre-order before they become available.

Where a product is offered as a Pre-order:

• its status as a Pre-order will be disclosed before purchase;

• an expected or estimated availability date may be provided;

• the relevant purchase conditions will apply;

• applicable mandatory consumer rights remain unaffected.

Unless expressly stated otherwise, an estimated or expected release date is a target date and may change due to development or technical circumstances.

Personal data is processed in accordance with our Privacy Policy.

Cookies and similar technologies are used in accordance with our Cookie Policy and applicable consent requirements.

Refunds, cancellations, Pre-orders, digital content, Subscriptions, Bundles and related consumer remedies are governed by our Refund Policy, the applicable Terms of Service, mandatory law and, where applicable, the terms of the Seller of Record.

Where an independent Merchant of Record is the Seller of Record, refund or payment requests may need to be processed through that provider.

This Legal Notice and use of the website are governed by the laws and regulations applicable in the Dubai International Financial Centre (DIFC), Dubai, United Arab Emirates, subject to any mandatory law that applies to a particular User or transaction and cannot contractually be excluded.
